4. Client Responsibilities

Clients agree to:

  • Maintain backups of their own content and business data.
  • Review project deliverables promptly.
  • Ensure they possess all necessary rights, permissions, and licenses for materials provided to Satinova.

Project delays caused by a client's failure to provide required information or approvals may result in timeline extensions and additional charges.

5. Intellectual Property Rights

Client-Owned Materials: All trademarks, logos, content, images, and materials supplied by the client remain the property of the client. The client represents and warrants that they possess all necessary rights to use and distribute such materials.

Satinova-Owned Materials: Unless expressly transferred through a written agreement, Satinova retains ownership of:

  • Proprietary software
  • Development frameworks
  • Internal tools
  • Automation systems
  • Source methodologies
  • Design systems
  • Templates
  • Reusable code libraries
  • AI workflows
  • Internal documentation

No ownership rights are transferred until agreed obligations have been fulfilled.

6. Portfolio and Promotional Rights

Unless restricted by a signed confidentiality agreement, Satinova may:

  • Display completed projects in portfolios.
  • Showcase project screenshots.
  • Reference client names and logos.
  • Publish case studies and project summaries.
  • Use completed work for marketing and promotional purposes.

7. Third-Party Services

Satinova may utilize third-party providers including but not limited to:

  • Hosting providers
  • Domain registrars
  • Cloud service providers
  • Advertising platforms
  • Payment gateways
  • Analytics services
  • Social media platforms
  • AI service providers

Satinova shall not be responsible for interruptions, outages, policy changes, account suspensions, pricing modifications, or operational failures caused by third-party providers.

8. Website and Software Development Disclaimer

Satinova strives to deliver high-quality solutions; however, we do not guarantee that:

  • Services will be uninterrupted.
  • Software will be completely error-free.
  • Websites will remain compatible with all future browsers or devices.
  • Third-party integrations will operate indefinitely.
  • External APIs will remain available or unchanged.

Technology platforms evolve continuously, and future compatibility cannot be guaranteed.

9. SEO and Marketing Disclaimer

Search engine rankings, advertising performance, website traffic, conversions, leads, and business growth depend on numerous factors beyond Satinova's control.

Therefore, Satinova does not guarantee:

  • First-page rankings.
  • Specific keyword rankings.
  • Traffic volumes.
  • Lead quantities.
  • Sales results.
  • Advertising outcomes.

Any forecasts, estimates, or projections are provided for informational purposes only.

10. Hosting and Domain Services

Where Satinova assists with hosting or domain management:

  • Clients remain responsible for timely renewals unless otherwise agreed.
  • Failure to renew services may result in suspension, expiration, or loss of access.
  • Satinova is not liable for registrar actions, hosting outages, domain expirations, or provider-related disruptions.
  • Clients are encouraged to maintain independent backups of critical data.

11. Security

Satinova implements commercially reasonable security measures to protect systems and information. However, no website, application, network, server, or online platform can be guaranteed completely secure.

Satinova shall not be liable for losses arising from:

  • Cyberattacks
  • Hacking incidents
  • Malware infections
  • Credential theft
  • Unauthorized access
  • Distributed denial-of-service attacks
  • Third-party security breaches

Clients are responsible for maintaining secure passwords, access controls, and account security.

12. Confidentiality

Both parties agree to protect confidential information shared during the course of a project. Confidential information shall not include information that:

  • Is publicly available.
  • Was already known prior to disclosure.
  • Is independently developed.
  • Must be disclosed under legal or regulatory requirements.

13. Acceptable Use

Clients may not use Satinova services for activities involving:

  • Fraudulent conduct
  • Phishing
  • Spam distribution
  • Intellectual property infringement
  • Malware distribution
  • Unauthorized data collection
  • Illegal financial activities
  • Defamatory content
  • Hate speech
  • Terrorism-related activities
  • Any activity prohibited by applicable law

Satinova reserves the right to suspend or terminate services associated with such activities.

14. Limitation of Liability

To the maximum extent permitted by law, Satinova shall not be liable for:

  • Indirect damages

  • Loss of profits

In any event, Satinova's total liability shall not exceed the total amount paid by the client for the specific service giving rise to the claim.

15. Indemnification

The client agrees to indemnify, defend, and hold harmless Satinova, its directors, employees, contractors, and affiliates from any claims, losses, damages, liabilities, costs, and expenses arising from:

  • Client-supplied content.
  • Intellectual property disputes.
  • Regulatory violations.
  • Misuse of delivered services.
  • Breach of these Terms.
  • Violations of applicable laws.

16. Force Majeure

Satinova shall not be liable for delays or failures caused by events beyond reasonable control, including:

  • Natural disasters
  • Floods
  • Fires
  • Earthquakes
  • Internet outages
  • Government actions
  • Pandemics
  • Labor disputes
  • Cybersecurity incidents
  • Utility failures

Project timelines may be adjusted accordingly.

17. Suspension and Termination

Satinova reserves the right to suspend or terminate services where:

  • Applicable laws are violated.
  • Services are misused.
  • False information is provided.
  • Abuse, threats, or harassment occur.
  • Payment obligations are not fulfilled.
  • Security risks are identified.

Termination does not remove any outstanding obligations owed by either party.

18. Non-Solicitation

Clients agree not to directly recruit, hire, engage, or solicit Satinova employees, contractors, consultants, or freelancers during the course of an active engagement and for twenty-four (24) months thereafter without written consent.

19. Electronic Communications

By contacting Satinova or using our services, you consent to receiving communications through:

  • Email
  • Telephone
  • SMS
  • WhatsApp
  • Customer support systems
  • Project management platforms

Electronic communications shall be deemed valid for operational and contractual purposes.

20. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of India. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Telangana, India.

21. Changes to These Terms
